These Terms and Conditions (“Terms”) govern access to and use of NanoBase™ materials, documentation, samples, accounts, and related services provided by NanoEdge Holdings, LLC, operating as Pensive Beauty® Nanoscience Labs (“Pensive Beauty,” “we,” “us,” or “our”). Please read them carefully.
1. Acceptance of these Terms
You accept and agree to be bound by these Terms when any of the following occurs: you purchase or order NanoBase™; you request, download, open, or otherwise view any document, specification, certificate, or file made available within a NanoBase Labs account; or you register for or access a NanoBase Labs account. If you do not agree to these Terms, do not purchase NanoBase™, do not access account documents, and do not use the account.
2. Definitions
“NanoBase™” or the “NanoBase™ Architecture” means the proprietary lecithin-based, tri-domain nano-delivery architecture manufactured and supplied by Pensive Beauty, together with all of its variants. “Materials” means the NanoBase™ product supplied to you as a cosmetic raw material. “Documentation” means any technical data sheet, certificate of analysis, safety data sheet, brochure, guidance, pricing, or other document or file made available through your account or otherwise by Pensive Beauty. “Finished Product” means the finished cosmetic product that you formulate, manufacture, or have manufactured using the Materials. “You” or “Customer” means the business entity accessing NanoBase™, its documents, or an account.
3. Cosmetic Status; Claims Are Your Responsibility
NanoBase™ is supplied as a cosmetic raw material for use in leave-on and rinse-off cosmetic products applied to intact skin and hair. NanoBase™ is not supplied as a drug and is not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.
All marketing, performance, efficacy, safety, and regulatory claims are made by you and are your sole responsibility. Any such claim must be substantiated by you on your Finished Product, and not on the Materials in isolation. You are responsible for ensuring that your Finished Product, its labeling, and its marketing comply with all applicable laws and regulations in every market where you sell or distribute it. You shall not attribute to NanoBase™ or to Pensive Beauty any claim that we have not provided to you in writing, and you shall not make any drug, disease, or structure-function claim.
4. Intellectual Property; No Transfer
NanoBase™, including its composition, formulation, manufacturing process, know-how, trademarks, and all Documentation, is and remains the exclusive intellectual property of Pensive Beauty. Your purchase or use of the Materials conveys only a limited, non-exclusive, non-transferable right to incorporate the Materials into your Finished Product. It does not transfer, assign, or license to you any ownership of, or other right in, the NanoBase™ Architecture, its process, its composition, or any Pensive Beauty intellectual property. No title to any Pensive Beauty intellectual property passes to you at any time.
5. No Reverse Engineering or Analysis
You shall not, and shall not permit or engage any third party to, reverse engineer, deconstruct, decompile, disassemble, chemically or physically analyze, or otherwise attempt to derive, identify, or reproduce the composition, structure, or manufacturing process of NanoBase™. You shall not submit the Materials for third-party analysis for any such purpose. Any such attempt is a material breach of these Terms.
6. Confidentiality
All Documentation and account materials are confidential and proprietary to Pensive Beauty. You shall keep them confidential, use them only for the purpose of evaluating or manufacturing your Finished Product, and not disclose, publish, or share them with any third party without our prior written consent. Viewing any document within your account confirms your agreement to hold that document and its contents in confidence under these Terms.
7. Permitted Use and Restrictions
The Materials are supplied for your manufacture of Finished Products only. You shall not resell, redistribute, or transfer the Materials in raw or unincorporated form. NanoBase™ ships to commercial business addresses only. You are responsible for handling, storing, and using the Materials in accordance with the applicable safety data sheet and our written guidance.
8. Regulatory Responsibility
You are solely responsible for the regulatory compliance, safety assessment, notification, and registration of your Finished Product in every market, including any importation and in-market registration obligations. Pensive Beauty does not act as your regulatory agent and makes no representation that your Finished Product is compliant in any jurisdiction.
9. Accounts, Samples, and Documentation
Accounts are subject to approval and are provided for commercial businesses only. Access to samples, pricing, and Documentation is gated and provided at our discretion. We may approve, decline, suspend, or revoke access to any account. Samples are provided for evaluation only and are subject to these Terms.
10. Orders, Pricing, and Lead Times
Prices, minimums, and lead times are provided through your account and may change. Sample lead time is approximately three to four weeks. Full production lead time is approximately ninety days. Orders are subject to acceptance by Pensive Beauty.
11. Membership Tiers and Subscriptions
Certain benefits and pricing are provided through membership tiers. Paid-tier subscriptions, their fees, commitments, and default remedies are governed by the applicable partner or subscription agreement, which supplements these Terms. On those specific matters, the partner or subscription agreement controls in the event of a conflict.
12. Warranty and Disclaimer
The Materials conform to their applicable specification and certificate of analysis at the time of delivery. Except for that limited conformance, the Materials and Documentation are provided “as is,” and Pensive Beauty disclaims all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. You are responsible for testing the suitability of the Materials for your intended use.
13. Limitation of Liability
To the maximum extent permitted by law, Pensive Beauty shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, arising out of or related to the Materials, the Documentation, or these Terms. Our total aggregate liability shall not exceed the amount you paid for the Materials giving rise to the claim.
14. Indemnification
You shall defend, indemnify, and hold harmless Pensive Beauty and its officers, employees, and agents from and against any claim, loss, liability, or expense arising out of your Finished Product, your marketing or claims, your use of the Materials, or your breach of these Terms.
15. Breach and Remedies
Any reverse engineering, unauthorized disclosure, unauthorized claim, or other material breach entitles Pensive Beauty to suspend or terminate your access and to pursue all available remedies, including injunctive relief. Additional default remedies applicable to paid tiers are set out in the applicable partner or subscription agreement.
16. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in Florida.
17. Changes to these Terms
We may update these Terms from time to time. The version in effect at the time you purchase NanoBase™ or access account documents applies to that purchase or access. Continued use after an update constitutes acceptance of the updated Terms.
